These Terms of Service ("Terms", "Terms of Service") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Customer") and Rembrandt (operated by Mindmapp B.V., trading as Rembrandt, "we", "us", or "our"), concerning your access to and use of the Rembrandt platform available at my.rembrandtagents.com and our marketing website at rembrandtagents.com (collectively, the "Services").
We are registered in the Netherlands and have our registered office at Weesperstraat 107, 1018VN, Amsterdam, Netherlands. Our company is registered with the Dutch Chamber of Commerce under number 92774660.
You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms of Service, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Services so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Services after the date such revised Terms of Service are posted.
The information provided on the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services.
User Eligibility and Representations
By using the Services, you represent and warrant that:
You have the legal capacity and you agree to comply with these Terms of Service
You are not a minor in the jurisdiction in which you reside (you must be at least 18 years old)
You are authorized to act on behalf of a company to register for the Services
You will not access the Services through automated or non-human means, whether through a bot, script or otherwise
You will not use the Services for any illegal or unauthorized purpose
Your use of the Services will not violate any applicable law or regulation
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
Scope of Service
Rembrandt provides a business intelligence platform that identifies actionable business signals from public domain sources and matches companies to commercial intent profiles through the Intent Signal Framework.
Services include:
Insights through the Intent Signal Framework, derived from public business data using AI agents
Dashboards, signal visualizations, and reporting tools tailored to your industry and use case
Access to configure and manage tracking agents through the platform
Support to adjust the intent signal framework upon reasonable request
Updates and notifications based on public domain data according to your configured settings
Service Exclusions:
Services exclude any products or services provided by third parties, even if you have connected those products or services to our Services.
Service Availability:
Subject to the terms and conditions of these Terms of Service, we will make the Services available during the Term. We do not guarantee that the Services will be available at all times or that access will be uninterrupted. Please refer to the Service Modifications and Availability section for more details.
Fees and Payment
Payment Methods:
We accept payment through Stripe. Payment methods accepted include credit cards, debit cards, and other payment methods as made available through Stripe's payment processing system.
Subscription Fees:
You may be required to purchase or pay a fee to access some of our services. Subscription fees are specified during the sign-up process and may vary based on your selected plan, number of tracked prospects, and usage.
Payment Information:
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
Billing:
We bill you through an online billing account managed by Stripe for purchases made via the Services. Sales tax (VAT) will be added to the price of purchases as deemed required by applicable law. We may change prices at any time. All payments shall be in Euro (EUR) unless otherwise specified.
Recurring Charges:
If your purchase is subject to recurring charges (subscription), then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation or until the subscription is otherwise terminated.
Payment Terms:
Payment is due in accordance with the billing schedule for your subscription plan. Late payments may result in suspension or termination of access to the Services.
Pricing Errors:
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Services.
Cancellation
Cancellation Rights:
You can cancel your subscription at any time by logging into your account and accessing the subscription management settings, or by contacting us using the contact information provided below.
Cancellation Timing:
Your cancellation will take effect at the end of the current paid billing period. You will continue to have access to the Services until the end of the billing period for which you have already paid.
Refund Policy:
Subscriptions are billed in advance. Upon cancellation, you will retain access to the Services for the remainder of the paid billing period.
Post-Cancellation:
After cancellation, your account data will be deleted within 90 days, in accordance with our data retention policies and applicable data protection laws.

User Accounts and Registration
Account Setup:
To access and use the Services, you must register for an account. You must be authorized to act on behalf of a company to register.
Account Information:
Accurate and complete administrator information (name, email address) is required. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security:
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this section.
Authorized Users:
You may designate and provide access to your employees, independent contractors, or other agents as authorized users of your account. You are responsible for all use and misuse of the Services by authorized users and for ensuring that all authorized users comply with these Terms of Service.
Intellectual Property Rights
Our Intellectual Property:
Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.
All intent signal frameworks and associated methodologies are proprietary to Rembrandt. The platform, framework, and all associated intellectual property remain the exclusive property of Rembrandt.
Limited License:
Provided that you are eligible to use the Services, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly gained access solely for your internal business purposes. We reserve all rights not expressly granted to you in and to the Services, the Content and the Marks.
Restrictions:
You may use insights generated through the platform but may not reverse-engineer, extract the underlying logic, copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any Content or Marks for any commercial purpose whatsoever, without our express prior written permission.
Your Content:
Customers retain rights to any of their uploaded configuration data, use case definitions, and other content provided by you to the Services.
Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Services, you agree not to:
Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords
Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services
Use any information obtained from the Services in order to harass, abuse, or harm another person
Make improper use of our support services or submit false reports of abuse or misconduct
Use the Services in a manner inconsistent with any applicable laws or regulations
Engage in unauthorized framing of or linking to the Services
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Services
Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools
Delete the copyright or other proprietary rights notice from any Content
Attempt to impersonate another user or person or use the username of another user
Upload or transmit any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms")
Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you
Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services
Copy or adapt the Services' software, including but not limited to HTML, JavaScript, or other code
Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services
Use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or using or launching any unauthorized script or other software
Use a buying agent or purchasing agent to make purchases on the Services
Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses
Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise
User Content and Contributions
User-Provided Content:
When you access and use the Services, you may provide content to the Services, including but not limited to configuration data, use case definitions, prospect lists, and other materials (collectively, "User Content").
Ownership of User Content:
We do not assert any ownership over your User Content. You retain full ownership of all of your User Content and any intellectual property rights or other proprietary rights associated with your User Content.
License Grant:
By providing User Content to the Services, you hereby grant us a non-exclusive, worldwide, royalty-free license to use, store, copy, modify, create derivative works of, distribute, publish, transmit, and display your User Content solely for the purpose of providing, improving, and operating the Services.
User Content Standards:
You represent and warrant that your User Content:
Does not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party
Is provided with all necessary licenses, rights, consents, releases, and permissions to use and to authorize us to use your User Content
Is not false, inaccurate, or misleading
Is not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation
Is not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable
Does not violate any applicable law, regulation, or rule
Does not violate the privacy or publicity rights of any third party
Liability for User Content:
We are not liable for any statements or representations in your User Content. You are solely responsible for your User Content and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your User Content.
Content Removal:
We reserve the right to remove or disable access to any User Content that violates these Terms of Service or is otherwise objectionable in our sole discretion.
Confidentiality
Definition of Confidential Information:
"Confidential Information" means all financial, technical, or business information that is designated as confidential at the time of disclosure or that reasonably should be understood to be confidential based on the nature of the information or the circumstances surrounding its disclosure. Confidential Information includes the terms and conditions of these Terms of Service.
Obligations:
Both parties agree to maintain the confidentiality of proprietary information shared during the course of using the Services. We ensure that all personnel with access to your data are bound by appropriate confidentiality obligations.
Restrictions:
Except as expressly permitted in these Terms of Service, the receiving party will not disclose, duplicate, publish, transfer or otherwise make available Confidential Information in any form to any person or entity without the disclosing party's prior written consent. The receiving party will not use the disclosing party's Confidential Information except to perform its obligations under these Terms of Service.
Exceptions:
Confidential Information does not include any information that: (i) is or becomes generally known to the public without breach of any obligation; (ii) was independently developed without breach of any obligation; or (iii) is received from a third party who obtained such information without breach of any obligation.
Legal Disclosure:
Confidential Information may be disclosed to the extent required by law, provided that the receiving party gives prior written notice where permitted and uses diligent efforts to limit disclosure and obtain confidential treatment.
Data Processing and Privacy
Data Processing Agreement:
Rembrandt acts as a Data Processor with respect to Customer data. Our data processing practices are governed by our Privacy Policy and Data Processing Agreement (DPA), which form part of these Terms of Service.
Subprocessors:
Data may be processed through subprocessors including AWS, OpenAI, LangGraph Cloud, SuperTokens Cloud, Stripe, Sentry, and Prisma Accelerate. A complete and up-to-date list of all subprocessors, including their purpose, data access scope, and location, is detailed in Section 5 (Subprocessors) of the Rembrandt Data Processing Agreement (DPA).
Personal Data:
We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). For detailed information about our data processing practices, please refer to our Privacy Policy and Data Processing Agreement.
Service Data Ownership:
You retain ownership of all Service Data (data you submit to the Services). We own all Usage Data (metrics and information regarding your use of the Services).
Security Measures
Rembrandt implements and maintains appropriate technical and organizational security measures designed to protect the confidentiality, integrity, and availability of Customer data processed through the Services.
Data Protection Controls:
Encryption: Customer data is encrypted both at rest and in transit using industry-standard encryption protocols
Access Controls: Role-based access control systems authorize user access while restricting unauthorized users from accessing information not needed for their role
Monitoring: Continuous monitoring and logging of system activities to detect and respond to security events
Intrusion Detection: Intrusion detection systems to prevent and identify potential security attacks from users outside the boundaries of the system
Security Operations:
Incident Response: Operational procedures for managing security incidents and breaches, including timely notification to affected customers within 72 hours of becoming aware of any breach
Vulnerability Management: Regular security assessments of systems and infrastructure
Data Retention and Disposal: Data retention and disposal procedures as outlined in our Privacy Policy, including deletion of customer account data within 90 days of termination
Subprocessor Security:
All subprocessors, including AWS, OpenAI, LangGraph Cloud, SuperTokens Cloud, Stripe, Sentry, and Prisma Accelerate, are required to maintain security standards consistent with these commitments through appropriate contractual arrangements.
Updates to Security Measures:
Rembrandt may update these security measures from time to time to reflect improvements in security practices. Material changes will be communicated to customers.

Term and Termination
Term:
These Terms of Service shall remain in full force and effect while you use the Services.
Termination by You:
You may terminate your account at any time by canceling your subscription in accordance with the Cancellation section above.
Termination by Us:
We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Service or of any applicable law or regulation. We may terminate your use or participation in the Services or delete any content or information that you posted at any time, without warning, in our sole discretion.
Termination for Cause:
Either party may terminate these Terms of Service for cause:
Upon thirty (30) days written notice if the other party materially breaches these Terms of Service and fails to cure such breach within such notice period
Immediately upon written notice if the other party becomes insolvent, makes an assignment for the benefit of creditors, files or has filed against it a petition in bankruptcy, or a receiver is appointed
Effect of Termination:
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. Upon termination:
Your right to access and use the Services will immediately cease
You may export your Service Data for up to 30 days following termination
After such period, we may delete all Customer Service Data in accordance with applicable data protection laws and our Privacy Policy
Survival:
Sections relating to confidentiality, intellectual property, data processing, limitations of liability, indemnification, and miscellaneous provisions will survive termination.
Service Modifications and Availability
We reserve the right to modify or discontinue all or part of the Services at any time with or without notice. We cannot guarantee that the Services will be available at all times and may experience interruptions due to maintenance, hardware, or software issues. We have no liability for any loss or inconvenience caused by your inability to access or use the Services.
Disclaimers
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.
WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Rembrandt is not liable for indirect or consequential damages arising from use of the service.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services with whom you connected via the Services.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
User Data
We maintain data that you transmit to the Services ("Service Data") as well as data relating to your use of the Services ("Usage Data"). Although we perform regular backups, you are responsible for all data you transmit or that relates to your activities using the Services.
You retain ownership of all Service Data (configuration data, prospect lists, use case definitions, and other content you provide). We own all Usage Data (metrics and information regarding your use of the Services).
We have no liability for any loss or corruption of data, and you waive any right of action against us arising from such loss or corruption.
Electronic Communications and Signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing.
YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
Dispute Resolution
Any disputes arising from these Terms of Service shall be resolved in the competent courts of Amsterdam, the Netherlands.
Governing Law
These Terms of Service are governed by and defined following the laws of the Netherlands. You irrevocably consent that the courts of Amsterdam, the Netherlands shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms of Service.
Miscellaneous
Entire Agreement:
These Terms of Service and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us.
Waiver:
Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision.
Severability:
If any provision or part of a provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and does not affect the validity and enforceability of any remaining provisions.
Assignment:
We may assign any or all of our rights and obligations to others at any time.
Force Majeure:
We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
Relationship:
There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Service or use of the Services.
Construction:
You agree that these Terms of Service will not be construed against us by virtue of having drafted them.
