Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “Customer”), and Rembrandt (operated by Mindmapp B.V., trading as Rembrandt, “we”, “us”, or “our”), concerning your access to and use of the Rembrandt platform available at my.rembrandtagents.com and our marketing website at rembrandtagents.com (collectively, the “Services”).

We are registered in the Netherlands and have our registered office at Weesperstraat 107, 1018VN, Amsterdam, Netherlands. Our company is registered with the Dutch Chamber of Commerce under number 92774660.

By accessing the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Services.

The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, or similar sector-specific requirements unless expressly agreed in writing.

User Eligibility and Representations

By using the Services, you represent and warrant that:

1. You have the legal capacity and authority to agree to these Terms;

2. You are at least 18 years old;

3. You are authorized to act on behalf of a company to register for or use the Services;

4. You will not access the Services through unauthorized automated or non-human means;

5. You will not use the Services for any illegal or unauthorized purpose;

6. Your use of the Services will comply with applicable laws and regulations.

Scope of Service

Rembrandt provides a business intelligence platform that identifies actionable account-level business signals and matches companies to commercial intent profiles through the Rembrandt Intent Signal Framework.

Services Include

• Insights through the Intent Signal Framework derived from public business data, Customer-configured use cases, and Customer-provided or Customer-authorized first-party data

• Processing of Customer-provided CRM, prospect, website engagement, report download, sales activity, meeting note, meeting transcript, and GTM engagement data as signal sources where Customer enables such data sources

• Account-level Rembrandt scores, buying journey insights, recommendations, alerts, reports, and dashboards

• Access to configure and manage tracking agents, signal frameworks, account lists, integrations, data sources, and workflows through the platform

• Customer-authorized synchronization or export of signals, scores, audiences, campaigns, or related data to Customer’s connected CRM, sales engagement, marketing automation, analytics, ABM, or other GTM systems

• Support to adjust the intent signal framework upon reasonable request

Service Exclusions

Services exclude any products or services provided by third parties, even if you have connected those products or services to our Services. Customer-authorized third-party tools, including CRM, sales engagement, marketing automation, analytics, ABM, or GTM systems, remain governed by your separate agreements with those providers. Rembrandt is not responsible for the acts, omissions, availability, security, or data practices of Customer-authorized third-party tools except to the extent Rembrandt independently engages a provider as its own subprocessor under the DPA.

Service Availability

We will make the Services available during the applicable term. We do not guarantee that the Services will be available at all times or that access will be uninterrupted.

Fees and Payment

You may be required to purchase or pay a fee to access some of our services. Subscription fees are specified during sign-up, in an order form, or in a separate service agreement and may vary based on plan, number of tracked prospects/accounts, integrations, and usage.

We may process payments through Stripe or other payment providers. Fees do not include VAT, sales tax, or other taxes unless expressly stated. Late payments may result in suspension or termination of access to the Services.

Cancellation

You may cancel your subscription according to your plan, order form, or service agreement. After cancellation, your access continues until the end of the then-current paid billing period unless otherwise specified. After termination, account data will be deleted in accordance with our data retention policies, Privacy Policy, and DPA.

User Accounts and Registration

To access and use the Services, you must register for an account and provide accurate administrator information, including name and email address. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

You may designate Authorized Users in accordance with your subscription. You are responsible for all use and misuse of the Services by Authorized Users and for ensuring that all Authorized Users comply with these Terms.

Intellectual Property Rights

The Services, platform, software, workflows, dashboards, signal framework methodology, models, designs, and associated intellectual property are owned or controlled by Rembrandt or licensed to Rembrandt.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes.

You retain ownership of your Service Data. You may use insights generated through the platform for your internal business purposes, but may not reverse engineer, extract the underlying logic of, copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit the Services or Rembrandt intellectual property without our prior written permission.

Prohibited Activities

You may not use the Services for any purpose other than that for which we make the Services available. You agree not to:

• use the Services in violation of applicable law, including data protection, marketing, employment, telecommunications, recording, or ePrivacy laws;

• provide or process data without required notices, consents, permissions, or lawful bases;

• upload or transmit unlawful, infringing, defamatory, harassing, discriminatory, obscene, or otherwise objectionable material;

• provide special categories of personal data, health data, government identifiers, children’s data, payment card data, or other sensitive regulated data unless expressly agreed in writing;

• circumvent, disable, or interfere with security-related features of the Services;

• reverse engineer, decompile, disassemble, copy, adapt, or attempt to discover the source code or structure of the Services except as permitted by law;

• use unauthorized automation, scraping, robots, spiders, or data extraction tools;

• use the Services to compete with Rembrandt or exploit the Services for an unauthorized revenue-generating purpose;

• interfere with, disrupt, or create an undue burden on the Services or connected networks;

• upload or transmit malware, viruses, or harmful code;

• impersonate another user or person.

User Content and Service Data

When you use the Services, you may provide, upload, connect, or authorize Rembrandt to retrieve data, including configuration data, use case definitions, account lists, CRM records, prospect and contact data, website engagement, report downloads, sales activity, meeting notes, meeting transcripts, GTM engagement data, and other materials (“Service Data”).

You retain ownership of Service Data. By providing, connecting, or authorizing access to Service Data, you grant Rembrandt a limited license to use, store, copy, process, transmit, analyze, and display Service Data solely to provide, secure, support, and improve the Services for you and as otherwise permitted by these Terms, the Privacy Policy, and the DPA.

You represent and warrant that your Service Data:

• is provided with all necessary rights, permissions, notices, consents, and lawful bases;

• does not violate applicable law or third-party rights;

• is not false, inaccurate, or misleading in a way that would make processing unlawful;

• does not include restricted or sensitive data categories unless expressly agreed in writing.

Rembrandt is not liable for Service Data you provide or authorize us to process, or for decisions you make based on platform outputs.

Confidentiality

Each party agrees to maintain the confidentiality of proprietary and confidential information shared in connection with the Services. Confidential Information includes non-public business, financial, technical, product, security, and Service Data information that is designated confidential or should reasonably be understood to be confidential.

The receiving party will not disclose Confidential Information except as permitted by these Terms, required to provide the Services, required by law, or authorized by the disclosing party.

Data Processing and Privacy

Data Processing Agreement

Rembrandt acts as a Data Processor with respect to Customer Personal Data processed through the Services. Our data processing practices are governed by our Privacy Policy (https://rembrandtagents.com/privacy-policy) and Data Processing Agreement (DPA) (https://rembrandtagents.com/dpa), which form part of these Terms.

Customer as Controller

Customer determines the purposes and means of processing Customer-provided Personal Data, including CRM, prospect, website engagement, report download, sales activity, meeting note, meeting transcript, and GTM engagement data. Customer is responsible for lawful basis, notices, consents, opt-outs, and data subject requests relating to Customer-controlled data.

Subprocessors

Data may be processed through subprocessors including AWS, OpenAI, Inngest, SuperTokens Cloud, Stripe, and Sentry. A complete and up-to-date list of subprocessors, including purpose, data access scope, and location, is detailed in Section 5 (Subprocessors) of the Rembrandt Data Processing Agreement (DPA) (https://rembrandtagents.com/dpa).

Mastra is used as a software framework within Rembrandt-controlled infrastructure and is not a separate subprocessor. Langfuse is self-hosted by Rembrandt on AWS eu-central-1.

AI Processing

Customer-provided Personal Data used for AI processing is routed through EU-resident AI processing where enabled and available. Where non-EEA subprocessors are used, Rembrandt relies on Standard Contractual Clauses and supplementary safeguards as described in the DPA. Rembrandt does not use Customer Service Data to train third-party foundation models unless expressly agreed in writing.

Customer-Authorized Third-Party Connections

You may authorize Rembrandt to connect to, retrieve data from, or export data to third-party tools such as CRM, sales engagement, marketing automation, analytics, ABM, or other GTM systems. Such connections and transfers are made on your instructions and remain subject to your agreements with those providers.

Security Measures

Rembrandt implements and maintains appropriate technical and organizational security measures designed to protect the confidentiality, integrity, and availability of Customer data processed through the Services.

These measures include:

• encryption at rest and in transit;

• role-based access controls and organization-level data isolation;

• workflow event data minimization, including use of identifiers and operational metadata rather than raw Customer Personal Data where feasible;

• monitoring and logging to detect and respond to security events;

• intrusion detection and vulnerability management;

• incident response procedures, including notification to affected customers where required;

• data retention and disposal procedures as outlined in our Privacy Policy (https://rembrandtagents.com/privacy-policy) and DPA.

Subprocessors are required to maintain security standards consistent with these commitments through appropriate contractual arrangements.

Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate access to the Services if you breach these Terms, fail to pay fees, create security risk, or use the Services unlawfully.

Upon termination:

• your right to access and use the Services will cease;

• you may export your Service Data for up to 30 days following termination, subject to technical availability and outstanding payment obligations;

• after such period, we may delete Customer Service Data in accordance with applicable law, the Privacy Policy, and the DPA.

Sections relating to confidentiality, intellectual property, data processing, limitations of liability, indemnification, and miscellaneous provisions survive termination.

Service Modifications and Availability

We may modify or discontinue all or part of the Services from time to time. We cannot guarantee that the Services will be available at all times or that access will be uninterrupted.

Disclaimers

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CUSTOMER IS RESPONSIBLE FOR CUSTOMER’S COMPLIANCE PROGRAMS, CUSTOMER-PROVIDED DATA, CUSTOMER-AUTHORIZED THIRD-PARTY TOOLS, OUTREACH DECISIONS, AND USE OF SIGNALS, SCORES, RECOMMENDATIONS, OR OTHER OUTPUTS GENERATED BY THE SERVICES.

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR CUSTOMER-AUTHORIZED THIRD-PARTY TOOLS OR THIRD-PARTY SERVICES.

Limitations of Liability

IN NO EVENT WILL REMBRANDT OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WILL BE LIMITED TO THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, UNLESS OTHERWISE REQUIRED BY LAW OR AGREED IN WRITING.

Indemnification

You agree to defend, indemnify, and hold Rembrandt harmless from and against any loss, damage, liability, claim, or demand arising out of: (1) your use of the Services; (2) breach of these Terms; (3) your Service Data; (4) your failure to obtain required notices, consents, permissions, or lawful bases; (5) your Customer-authorized third-party tools or exports; or (6) your violation of third-party rights or applicable law.

Electronic Communications and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that electronic communications satisfy legal requirements that communications be in writing.

Dispute Resolution and Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms shall be resolved in the competent courts of Amsterdam, the Netherlands.

Miscellaneous

These Terms and any policies or operating rules posted by us constitute the entire agreement between you and Rembrandt regarding the Services unless you have a separate signed agreement with Rembrandt.

If any provision is determined to be unlawful, void, or unenforceable, that provision will be deemed severable and does not affect the validity of remaining provisions.

No joint venture, partnership, employment, agency, fiduciary, or similar relationship is created by these Terms or use of the Services.
